These Subscription and Payment Terms ("Payment Terms") apply when you subscribe to a paid plan for the Assilek service offered by Lemus Digital LLC ("Company," "we," "us," or "our"). They are in addition to our Terms of Service and Privacy Policy. By subscribing to a paid plan or starting a free trial that may convert to a paid plan, you agree to these Payment Terms.
1. Plans and Pricing
1.1 Available Plans
We offer:
- Free plan: Limited features and usage (e.g., a set number of galleries and storage). No payment is required. We may change the free plan limits with at least thirty (30) days' notice.
- Paid plans: Basic, Professional, and Enterprise, as described on our pricing page. Each paid plan has specific limits (e.g., number of galleries, storage, team members, monthly final-image downloads, monthly ZIP exports) and a monthly or annual price. Current pricing and features are displayed at https://assilek.com/pricing (or the then-current pricing page). Custom Enterprise arrangements are available — contact us at legal@assilek.com.
Limits as published. Plans labeled "Unlimited" for galleries or team members are subject to a fair-use cap (currently 999,999 of each) intended to prevent automated abuse. Storage and monthly download/export caps are stated as concrete numbers on the pricing page (e.g., "5 TB storage" for Enterprise). Where you have a legitimate need to exceed any cap, contact us at support@assilek.com to discuss a custom arrangement.
Custom domain. Plans that include "Custom domain" support delivery of galleries through a domain you own (e.g., galleries.yourstudio.com). Setup currently requires a one-time configuration assisted by our support team — contact support@assilek.com after subscribing. We will set up the DNS mapping, provision the SSL certificate, and confirm activation within five (5) business days of receiving the necessary DNS access.
1.2 Currency and Tax
Prices are displayed in your local currency based on your account locale at sign-up. Currencies currently supported include USD, EUR, GBP, MXN, COP, ARS, and BRL; the exact list is shown on the pricing page. Once a subscription is created, its currency does not change without your action. Applicable taxes (e.g., sales tax, VAT, IVA) may be added where required by law. You are responsible for any taxes that apply in your jurisdiction. If we are required to collect tax, we will show it at checkout or on your invoice.
1.3 Price Changes
We may change the price of a plan with at least thirty (30) days' notice by email and by a clear notice in the Service. The new price will apply at the start of the next billing cycle after the notice period. If you do not agree to the new price, you may cancel your subscription before the new price takes effect; otherwise, your continued use constitutes acceptance. Price changes do not affect the current billing period already paid.
2. Billing and Payment
2.1 Payment Method
You must provide a valid payment method (e.g., credit or debit card) that we or our payment processor accept. We use Stripe to process payments. By subscribing, you authorize us to charge your payment method for the fees associated with your plan on a recurring basis until you cancel. You can update your payment method through the billing section of the Service or via the Stripe Customer Portal we provide.
2.2 Billing Cycle
- Monthly plans: You are billed each month on or around the same calendar day as your subscription start date.
- Annual plans: You are billed once per year on or around the anniversary of your subscription start date.
Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.
2.3 Invoices
Invoices are available in your account and via the Stripe Customer Portal, and may be sent to the email address on file. You must keep billing information accurate so we can send invoices and important notices.
3. Free Trial
If we offer a free trial (e.g., 14 days at no charge):
- You will not be charged until the trial ends.
- At the end of the trial, if you have not cancelled, we will charge your payment method for the plan you selected (monthly or annual, as chosen at sign-up).
- You may cancel at any time during the trial to avoid being charged. No refund is due for an unused portion of a trial.
- We may require a valid payment method at the start of the trial to prevent abuse. We will not charge it until the trial ends unless you upgrade or we have clearly stated otherwise.
Trial eligibility (e.g., one trial per organization) is at our discretion. We may discontinue or modify trial terms with notice.
4. Upgrades and Downgrades
4.1 Upgrade
If you upgrade to a higher plan (e.g., from Basic to Professional, or to Enterprise), the new plan and limits typically take effect immediately or at the start of the next billing cycle, as indicated in the Service. We may charge a prorated amount for the remainder of the current period; the exact handling will be shown at the time of upgrade.
4.2 Downgrade
If you downgrade to a lower plan (e.g., from Professional to Basic), the change takes effect at the end of your current billing period. Until then, you keep the benefits of your current plan. After the downgrade, you must bring your usage (e.g., number of galleries, storage) within the new plan's limits. If you exceed the new limits, we may restrict certain actions (e.g., creating new galleries or uploading) until you reduce usage or upgrade again.
5. Cancellation and Refunds
5.1 Cancellation by You
You may cancel your paid subscription at any time from your account settings or via the Stripe Customer Portal. Cancellation means that your subscription will not renew at the end of the current billing period. You will retain access to the paid features until the end of the period you have already paid for. We do not provide refunds or credits for the unused portion of a billing period after cancellation, except as required by law (see Section 5.4) or as stated in Section 5.3.
5.2 Cancellation by Us
We may suspend or cancel your subscription if you breach our Terms of Service or these Payment Terms, or if we discontinue the plan. We may also cancel or refuse renewal for non-payment after attempting to collect (see Section 6). If we cancel for your breach, we are not obligated to refund any fees.
5.3 Refund Policy
Except as set out in Section 5.4 or otherwise required by law, all fees are non-refundable. We do not provide refunds for partial months or years, or for unused time after cancellation. If you believe you were charged in error, contact us at support@assilek.com or legal@assilek.com with your account details and reason; we will review and respond.
5.4 EU/UK Right of Withdrawal (consumers)
If you are a consumer resident in the European Union, the United Kingdom, the European Economic Area, or Switzerland, you have the right to withdraw from your subscription within fourteen (14) days of its creation, without giving any reason and without penalty, in accordance with Directive 2011/83/EU on Consumer Rights (and the equivalent UK Consumer Contracts Regulations).
To exercise this right, send an unambiguous statement of withdrawal to legal@assilek.com before the 14-day period ends, including your account email and a clear request for withdrawal. You may also use the model withdrawal form set out in Annex I(B) of Directive 2011/83/EU.
Important. By starting to use the Service before the 14-day period ends, you expressly request that performance of the contract begin during the withdrawal period. Where you exercise the right of withdrawal after such use, you may be required to pay an amount proportional to the Service provided up to the moment you exercised the right (Article 14(3) of Directive 2011/83/EU). We will refund any remaining amount within fourteen (14) days using the same payment method you originally used.
This Section 5.4 applies only to natural persons acting outside their trade, business, craft, or profession. Subscriptions taken by businesses (including sole-trader photographers acting in their professional capacity) are not within the scope of the consumer right of withdrawal.
6. Failed Payments and Account Status
If a payment fails (e.g., expired card, insufficient funds), we or our payment processor will retry the payment in accordance with our billing configuration (typically up to four attempts over the following two weeks). We will notify you and ask you to update your payment method. If the payment remains unpaid after the retry window plus a seven (7) day grace period, we may suspend your access to paid features until the balance is paid. Continued non-payment for an additional fourteen (14) days may result in downgrade to the free plan or termination of your account in accordance with our Terms of Service. You remain responsible for any unpaid fees for the period during which you had access to the paid plan.
7. Your Responsibilities
You are responsible for:
- Providing accurate billing and contact information and keeping it up to date.
- All charges incurred under your account, including by team members with access to your organization's billing.
- Compliance with these Payment Terms and our Terms of Service.
8. Governing Law and Contact
These Payment Terms are governed by the same law and dispute resolution provisions as our Terms of Service. For billing or subscription questions:
